5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of
Certain Officers.

  

 On June 9, 2026, Ketan Seth resigned as Chief
Executive Officer and a director of the Company, effective immediately. His resignation was for family reasons and was not due to any
disagreement with the Company.

  

 On the same day, the board of directors of the
Company appointed David Bauer, the Company’s current Chief Financial Officer, to also serve as the Company’s interim Chief
Executive Officer.

  

 There
are no family relationships between Mr. Bauer and any director, executive officer, or person nominated or chosen by the Company to become
an executive officer of the Company. There are no transactions between the Company and Mr. Bauer that are subject to disclosure under
Item 404(a) of Regulation S-K.
