At the 2026 Annual Meeting of Stockholders of Cars.com Inc. held on June 3, 2026, stockholders voted on the matters described below, each of which is discussed in greater detail in the Proxy Statement. As of April 6, 2026, the record date for the Annual Meeting, 57,019,566 shares of the Company’s common stock were outstanding and entitled to vote at the Annual Meeting. The Company’s stockholders voted on the following matters at the Annual Meeting, each of which is described in more detail in the Proxy Statement: 1. The election of each of the directors nominated by the Board of Directors to hold office until the 2027 Annual Meeting of Stockholders and until his or her successor is elected and qualified; 2. The ratification of the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year 2026; 3. The approval of the Executive Officer Compensation as disclosed in the Proxy Statement.
