On June 11, 2026, BAB, Inc. (the "Company") and Geraldine Conn mutually agreed that, effective June 29, 2026, Ms. Conn will transition to a part-time role while continuing to serve as the Company's Chief Financial Officer and principal financial officer. In connection with her transition to a part-time role, Ms. Conn's salary will be adjusted to reflect her reduced work schedule. Ms. Conn will continue to be responsible for the Company's financial reporting and will review and approve the Company's periodic reports, including its Quarterly Reports on Form 10-Q and Annual Reports on Form 10-K. In connection with this transition, the Company has engaged Sassetti, LLC, the Company's former independent registered public accounting firm, to provide outsourced accounting support services. Personnel of Sassetti, LLC will assist the Company with the preparation of financial information and related accounting functions under the supervision of Ms. Conn. Sassetti, LLC provides similar services to other clients and does not serve as the Company's independent registered public accounting firm. Ms. Conn, in her capacity as Chief Financial Officer and principal financial officer, will continue to oversee the Company's accounting and financial reporting functions. There are no arrangements or understandings between Ms. Conn and any other persons pursuant to which she agreed to transition to a part-time role. There are no related party transactions between Ms. Conn or Sassetti, LLC and the Company that would require disclosure under Item 404(a) of Regulation S-K.
