Present at the Meeting online or represented by proxy were holders of 53,866,520 shares of common stock of the Company, representing 70.12% of the voting power of the shares of common stock of the Company as of the close of business on April 9, 2026, the record date for the Meeting. The following are the voting results for the proposals considered and voted upon at the Meeting, each of which is more fully described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 22, 2026 (the “Proxy Statement”).
